Terms of Service

Welcome to Dispach. By accessing or using Dispach (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. The service

Dispach is a client lifecycle platform for freelancers and small businesses, providing tools for managing leads, proposals, contracts, invoices, estimates, payments, time tracking, expenses, projects, tasks, and bookings. The Service is offered on a software-as-a-service basis through our web app at dispach.co and our native iOS app.

2. Your account

You are responsible for your account credentials and all activity under your account. You must provide accurate and complete information when creating an account. You may not share your account or use someone else's account.

You must be at least 18 years old and use Dispach for business or professional purposes. By using the Service, you represent that you meet these requirements. Each Dispach workspace is a Clerk Organization; solo users get a personal organization and Studio customers may invite collaborators subject to per-seat licensing.

3. Your content

You retain ownership of all content you upload, create, or import into Dispach (including client records, proposals, contracts, invoices, brand assets, and templates). You grant Dispach a limited license to host, display, transmit, and process your content solely to provide the Service.

You are responsible for the legality of your content and for honoring any obligations (including contracts and invoices) you create using Dispach. Dispach is a tool — what you send your clients is your representation, not ours.

4. Acceptable use

You agree not to:

  • Use the Service to violate any law or regulation
  • Send spam, unsolicited commercial communications, or fraudulent invoices
  • Reverse-engineer, scrape, or extract data from the Service in bulk, or attempt to access another workspace's data
  • Interfere with the Service's operation, security, or other users
  • Impersonate any person or misrepresent your affiliation with them
  • Use the Service to facilitate illegal collection, harassment, or any activity prohibited by Stripe's Restricted Businesses list

5. Payments from your clients (Stripe Connect)

Dispach uses Stripe to process payments your clients send to you. By connecting a Stripe account, you also agree to Stripe's Connected Account Agreement and Stripe Services Agreement.

0% platform fee. Dispach does not take a cut of payments from your clients. Stripe charges its standard processing fee (currently 2.9% + $0.30 for cards, with ACH and other methods priced separately by Stripe); we add nothing on top.

Dispach does not hold or transmit your funds. Payments from your clients flow directly to your connected Stripe account on Stripe's standard payout schedule. We have no access to your bank account.

Refunds to your clients.You can initiate refunds from within Dispach; the refund is processed by Stripe against the original payment intent on your connected account. Stripe's processing fees on the original payment may or may not be returned per Stripe's policy at the time. Refund disputes between you and your client are between you and your client.

6. Your subscription & pricing

Dispach offers three current plans. Prices are listed at dispach.co/#pricing.

  • Pro — $7.99/month or $79.99/year, billed by Stripe Billing. Every feature for solo freelancers.
  • Pro Lifetime — a one-time purchase of $199 that grants you Pro for the lifetime of the Service, with no recurring charge. Sold in limited quantity at launch.
  • Studio (Teams) — per-seat pricing for workspaces with multiple collaborators. Pricing shown at the link above.

14-day free trial. New accounts receive a 14-day Pro trial without requiring a payment method. If you do not subscribe by the end of the trial, your account remains usable but Pro features become unavailable until you subscribe.

Auto-renewal. Monthly and yearly subscriptions auto-renew at the then-current price until you cancel. You can cancel anytime from Settings → Billing; cancellation takes effect at the end of the current billing period. We do not charge cancellation fees. The lifetime purchase does not auto-renew because it isn't a subscription.

Grandfathering. Beta users who joined Dispach before subscriptions launched have been granted a Founder lifetime entitlement and will never be billed for Pro.

Price changes.We may change pricing for future billing periods with at least 30 days' notice via email. If we raise the price, you can cancel before the next renewal and continue using your current period as paid for.

7. Refunds for your subscription

We offer a 14-day money-back guarantee on first-time paid subscriptions: if you subscribe to Pro or Studio and request a refund within 14 days of the first charge, we'll refund it in full, no questions asked. Email hello@dispach.cofrom the account's billing email and we'll process it within 5 business days.

After 14 days, monthly subscriptions are non-refundable for the current period; yearly subscriptions are pro-rated upon written request. Lifetime purchases are refundable within 30 days of purchase if you have not made significant use of the platform (defined as fewer than 5 sent proposals, contracts, or invoices). After 30 days, lifetime purchases are final.

These refund terms apply to your subscription to Dispach. Refunds for payments your clients made to you are handled separately under Section 5.

8. iOS app & App Store

The Dispach iOS app is distributed through the Apple App Store. Use of the iOS app is additionally subject to Apple's App Store Terms. Subscriptions sold through the web (Stripe Billing) are not Apple in-app purchases; when (and if) we introduce iOS in-app purchases in a future release, those purchases will be processed by Apple and subject to Apple's billing and refund policies in addition to these Terms.

9. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service is hosted on Cloudflare and depends on third-party providers (Clerk for sign-in, Stripe for payments, Resend for email). Outages or maintenance windows may occur. We will use reasonable efforts to communicate planned maintenance in advance and to restore service promptly during unplanned outages.

10. Termination

You may close your account at any time from Settings (one tap, requires typing “DELETE” to confirm). On account deletion we cancel any active subscription, delete your data from production databases within 30 days, and remove your Clerk identity. Backups roll off within 90 days. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts owed, or use the Service in a way that creates legal risk to us or others. Where reasonable, we will give you notice and an opportunity to cure the breach before terminating.

11. Disclaimers & no professional advice

The Service is provided “as is” without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or secure against every possible attack. You use the Service at your own risk.

Dispach provides software tools only. We are not a law firm, accounting firm, tax preparer, or financial advisor, and nothing in the Service constitutes legal, tax, or financial advice. Any templates we provide — including contracts, proposals, model releases, and tax exports — are starting points offered for convenience. You are responsible for reviewing them for your situation and should consult a qualified professional before relying on them.

12. Limitation of liability

To the maximum extent permitted by law, Dispach's total liability arising from or related to the Service is limited to the greater of (a) the amount you paid us in the prior 12 months or (b) $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

13. Indemnification

You agree to indemnify and hold harmless Dispach and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, the documents and communications you create or send through it, or your violation of these Terms or any applicable law.

14. Governing law & disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Before bringing any formal claim, you agree to first contact us at hello@dispach.co so we can attempt to resolve the matter informally. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Missouri.

15. Changes

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Continued use after changes constitutes acceptance.
